Terms of use

The End-User License Agreement for Vial Workspace, as shown inside the app. Version 1.3, October 16, 2026.

About this agreement

This End-User License Agreement is between you (the person or business using the software) and Sector 2 Software (“we”, “us”). It covers Vial Workspace, including its updates and its documentation (the “Software”).

By installing, opening or using the Software you agree to these terms. If you don’t agree, don’t use the Software.

1. Your license

We grant you a non-exclusive, non-transferable license to install and use the Software on computers and servers that you own or control, for the internal operations of your own business, within the edition, number of users and any trial limits you were given.

The Software is licensed, not sold. We and our licensors keep all rights, title and interest in it, including all copyright and other intellectual property. Any rights not granted here are reserved.

Each license lasts for the term shown in it (a trial for its trial period). When it ends the Software becomes read-only: you can still open, view, export and back up your records, but not add or change them until the license is renewed. Fees are as stated when you buy; refunds are given only as stated on vialworkspace.com or where the law requires.

2. What you may not do

You may not: copy the Software except to install it as allowed above and to make backups; sell, rent, lend, share, publish or sublicense it; reverse engineer, decompile or disassemble it, except where the law allows this despite this restriction; remove or change any copyright or license notice; get around license keys, trial limits or other protections; or use it to build a competing product.

You may not use the Software, or any part of its code, design, screens or documentation, with any artificial-intelligence or machine-learning system: not to train, fine-tune or evaluate one, not to add it to a dataset, and not to have an AI tool copy, rewrite, describe or imitate it in order to build other software.

3. Your data

Your records stay on your computers and servers. We don’t collect, see or store them. You own your data and can export it at any time.

You are responsible for keeping your data backed up, for securing the computers, networks and accounts the Software runs on, and for handling the personal information of your customers lawfully, including any privacy laws that apply to you.

You are responsible for everything done in the Software by you and by anyone you give access to, including deleting, erasing, importing, restoring or overwriting records. The Software asks before it deletes and keeps automatic snapshots, but these are conveniences, not a guaranteed backup: snapshots are kept on the same computer and older ones are replaced. Keep regular backups somewhere other than the computer the Software runs on, and check now and then that you can restore from them.

4. Connected services

If you connect the Software to other services (such as an online store, email, a network storage device or a remote-access tunnel), you choose what is shared with them, and those services are governed by their own terms. We are not responsible for them, for changes they make to your data, or for data the Software reads from them or sends to them at your request.

5. Your business, your responsibility

The Software is a record-keeping tool. It doesn’t give legal, tax, accounting, regulatory, medical or dosing advice. Figures it works out for you (such as sales tax, costs, profit and stock) depend on what you enter; check them before you rely on them.

You are solely responsible for complying with every law and regulation that applies to the products you sell and how you sell them, including any research-use-only requirements. Nothing in the Software suggests that any product is fit for human use.

6. Third-party components

The Software includes open-source components. Each is provided under its own license, listed on the About page. Those licenses, not this agreement, govern those components.

7. Updates and support

We may offer updates, fixes or support, but we don’t have to unless we have agreed in writing. Updates are covered by this agreement unless they come with their own terms.

8. No warranty

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DON’T WARRANT THAT IT WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT IT WILL NOT LOSE DATA.

9. Limits on our liability

TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM YOUR USE OF THE SOFTWARE, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM.

Some places don’t allow these limits, so some of them may not apply to you.

10. Your promise to us

You agree to defend and compensate us against any claim, loss or cost (including reasonable legal fees) brought by someone else that comes from the products you sell, how you sell or describe them, the data you put into the Software, or your breaking these terms or any law.

11. Ending this agreement

This license lasts until it ends. It ends automatically if you break these terms. You may end it at any time by uninstalling the Software. When it ends you must stop using the Software and delete your copies of it; your own data remains yours.

12. General

This agreement is governed by the laws of the state or country where Sector 2 Software is established, without regard to conflict-of-law rules. If any part of it can’t be enforced, the rest still applies. It is the entire agreement between you and us about the Software. We may update these terms for future versions; the version you accepted applies to the version you have.
